Arlington Web Services, Inc. owns the tradename Pageville, the domain Pageville.com, and does business
as Pageville.
The Agreement
This Agreement is made effective
between Arlington Web Services, Inc., of
Columbus, Ohio USA, and Affiliate. In this agreement, the party who
is contracting to receive the services shall be referred to as "AWS", and
the party who will be providing the banner and/or link host site shall
be referred to as "Affiliate".
1. DESCRIPTION OF SERVICES.
Affiliate will provide the following services, (collectively, the "Services"):
Affiliate will place one or more banners and/or links on their web site
that deliver visitors to a specified AWS web site.
2. PAYMENT OF SERVICES.
AWS will compensate the Affiliate for referrals that result in new Pageville customers.
The Affiliate will be paid within 30 days after AWS receives referral's initial payment.
Initial payment is not due until the Pageville web site is complete.
Referral compensation rates are subject to change. Current rates will be posted on
Pageville's affiliate pages.
AWS will attempt, but does not guarantee, to notify Affiliates prior to any change in rate.
AWS will make every effort to insure that Affiliates will be properly credited for all
referrals sent to Pageville. However, due to the nature of the Internet, AWS cannot be held
responsible for referrals that do not get credited to the Affiliate.
3. RELATIONSHIP OF PARTIES.
It is understood by the parties that Affiliate is an independent contractor
with respect to AWS, and not an employee of AWS. AWS will not provide fringe
benefits, including health insurance benefits, paid vacations, or any other
employee benefit, for the benefit of Affiliate.
4. ENTIRE AGREEMENT. This
Agreement contains the entire agreement of the parities, and there are
no other promises or conditions in any other agreement whether oral or
written.
5. SEVERABILITY. If
any provision of this Agreement shall be held to be invalid or unenforceable
for any reason, the remaining provisions shall continue to be valid and
enforceable. If a court finds that any provision of this Agreement is invalid
or unenforceable, but that by limiting such provision it would become valid
and enforceable, then such provision shall be deemed to be written, construed,
and enforced as so limited.
